Notice of Annual General Meeting and Proposed Tender Offer
TruFin is pleased to announce that it is proposing to purchase up to 5,435,105 Ordinary Shares through a tender offer (the "Tender Offer") at a fixed price of 92 pence per Ordinary Share (the "Tender Price"), which equates to a maximum value of approximately £5 million.

Proposed sale of Zopa, Demerger of DFC and Notice of General Meeting

TruFin announces the demerger of DFC from TruFin into a new company to be admitted to trading on AIM. TruFin has also negotiated the sale of its entire stake in Zopa Group Limited to Arrowgrass Master Fund and is investing a portion of the proceeds of the sale into DFC to fund its Tier 1 equity. Former Director of Finance & Commercial Services at Sheffield City Council, Marianne Betts, is appointed as Deputy CEO and Chief Strategy Officer and Sarah Holmes takes the role of CFO. Progress Update

TruFin has been informed by the PRA that there is likely to be a delay to the announced timetable for the approval of DFC’s bank licence. The Company remains confident that DFC’s licence will be granted in due course and will update the market as soon as there is further clarity.

Zopa Banking Licence
